Transaction Services.

These services refer to all assistance provided in the context of the acquisition or the sale of a business. It covers also other equity transactions such as mergers, public takeovers, joint-ventures, minority investments.

Pre-deal buy-side assistance.

Based first on buy-side due diligence services to identify deal breakers, valuation levers, synergies, stand-alone costs assessments, contractual protection needs and post-deal issues. Our services also include LOIs, SPAs and TSAs drafting negotiation assistance. We deliver these services both through electronic data room access but also through site visits, management Q&A and local testing in all geographies needed.

Pre-deal sell-side assistance.

We provide all assistance needed through out the sale process including business plan preparation, financial carve-out, data-room preparation, deal execution risk assessment, dissynergies and stand-alone costs assessments, vendor due diligence and assistance with SPAs, TSAs and related financial mechanisms.

Post-deal assistance.

After the closing of a transaction we assist with purchase price adjustments based on completion accounts or “Locked Box” mechanisms.

We usually also assist in implementing an adequate financial reporting focusing on the relevant value creation drivers and metrics.

We can also monitor the value creation / integration plan and track the delivery of expected synergies.
